01Who we are

SeedPilot (the “Platform”, “we”, “us”) is operated by FreshGeo Ltd, a company registered in England and Wales under company number [COMPANY NUMBER], with its registered office at [REGISTERED OFFICE ADDRESS]. You can contact us at hello@getseedpilot.com.

These Terms of Service (the “Terms”) govern your access to and use of https://getseedpilot.com and all related services. By creating an account, accessing, or using the Platform you confirm that you accept these Terms and agree to comply with them. If you do not agree, you must not use the Platform.

02What SeedPilot is, and is not

SeedPilot is an information and introduction platform. We use software and AI to help UK founders and investors discover one another, assess fit, and communicate. We surface matches, scores, briefs, and tools for managing a fundraising process.

SeedPilot is not authorised or regulated by the Financial Conduct Authority (FCA). We do not provide investment, financial, legal, tax, or accounting advice; we do not make personal recommendations; we do not arrange, broker, or complete deals; and we do not hold client money or act as your agent. Nothing on the Platform is an offer, invitation, or inducement to engage in any investment activity. See our Risk & Not-Advice Notice for the full statement, which forms part of these Terms.

03Eligibility and accounts

• You must be at least 18 years old and capable of forming a binding contract.
• If you use the Platform on behalf of a company or fund, you confirm you are authorised to bind that entity, and “you” means both you and that entity.
• You are responsible for keeping your login credentials secure and for all activity under your account. Tell us promptly at security@getseedpilot.com if you suspect unauthorised use.
• Information you provide must be accurate, current, and not misleading. Investor profiles may be enriched using public sources, including official UK company registers.

04Acceptable use

Your use of the Platform is subject to our Acceptable Use Policy, which is incorporated into these Terms. In short: do not misuse the Platform, scrape or harvest data, misrepresent yourself or your venture, send spam, infringe others’ rights, or attempt to circumvent security or access controls.

05AI-generated content and matching

The Platform uses third-party AI models (including Anthropic’s Claude) to assess profiles, generate scores and briefs, and produce matches. AI output can be incomplete, inaccurate, or out of date. Scores and percentiles are indicative signals, not guarantees of quality, suitability, returns, or outcomes.

You are responsible for your own due diligence and decisions. We do not warrant that any match will result in contact, a meeting, funding, or any particular result, and we do not verify the identity, solvency, or intentions of any other user beyond the limited public-record checks described on the Platform.

06Your content and licence to us

You retain ownership of the content you submit (your briefing answers, documents, data-room materials, messages, and profile information, “Your Content”). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, display, and transmit Your Content solely to operate, secure, and improve the Platform and to provide the services to you and to counterparties you choose to share with.

You confirm you have the rights necessary to share Your Content and that it does not infringe any third party’s rights or breach any confidentiality or regulatory obligation.

07Data rooms, sharing, and confidentiality

When you share a data room, profile, deck, or other materials with another user, you do so at your own discretion and risk. We provide access controls (such as signed links and view logging) but we are not responsible for what recipients do with materials you choose to share. Treat the Platform as a way to make introductions: put any confidentiality, exclusivity, or deal terms into a separate written agreement between you and the counterparty.

08Fees and billing

SeedPilot is currently offered free of charge during its beta period. Where we introduce paid plans, the price, billing cycle, and features will be presented to you before you subscribe, and your continued use of a paid plan constitutes acceptance of those charges. All fees are stated in pounds sterling and are exclusive of VAT unless stated otherwise.

Cancellation and refunds for any paid plan are governed by our Refund Policy.

09Our intellectual property

The Platform, its software, design, scoring methodology, brand, and all related intellectual property are owned by us or our licensors and are protected by law. We grant you a limited, revocable, non-transferable licence to use the Platform for its intended purpose. You may not copy, modify, reverse-engineer, resell, or create derivative works from any part of the Platform except as permitted by law.

10Availability and changes

We aim to keep the Platform available but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time, and we may update these Terms. Where changes are material we will give reasonable notice (for example, by email or an in-product notice). Continued use after changes take effect means you accept the updated Terms.

11Liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded.

Subject to that, and to the maximum extent permitted by law: we provide the Platform “as is” and exclude all implied warranties; we are not liable for any loss of profit, revenue, opportunity, goodwill, data, or anticipated savings, or for any indirect or consequential loss; and our total aggregate liability arising out of or in connection with the Platform will not exceed the greater of (a) the fees you paid us in the 12 months before the claim or (b) £100.

We are an introduction platform; we are not a party to, and accept no liability for, any agreement, investment, or dealing between you and another user.

12Indemnity

You agree to indemnify us against any claims, losses, and reasonable costs arising from your breach of these Terms, your misuse of the Platform, Your Content, or your dealings with other users.

13Suspension and termination

You may stop using the Platform and close your account at any time. We may suspend or terminate your access if you breach these Terms or the Acceptable Use Policy, if required by law, or to protect the Platform or other users. On termination, the licences you granted for operating the service end, subject to retention required for legal, security, or backup purposes as described in our Privacy Policy.

14General

Consumers

If you use SeedPilot as a consumer, these Terms do not affect your statutory rights, including under the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013.

Governing law and jurisdiction

These Terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that if you are a consumer resident elsewhere in the UK you may also bring proceedings in your home jurisdiction.

Other

If any provision is found unenforceable, the rest remain in force. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganisation or sale. These Terms (together with the policies they reference) are the entire agreement between us.
